Haven Practice Solutions Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the Haven Practice Solutions website, services, tools, and related features (collectively, the "Platform"). The Platform is owned and operated by Haven Practice Solutions, LLC, a Georgia limited liability company ("Haven," "we," "us," "our").

By accessing or using the Platform, creating an account, listing a space, applying to rent a space, messaging another user, or participating in the community, you agree to be bound by these Terms.

If you do not agree, do not use the Platform.

1. What Haven Practice Solutions Provides

Haven Practice Solutions is a professional marketplace and community hub designed to help licensed mental health professionals and practice owners connect for therapy office space rentals, including hourly, daily, and long term use.

Haven is a technology platform. We do not own, operate, manage, or guarantee any listed space unless explicitly stated. We do not provide therapy services. We do not guarantee availability, pricing, suitability, safety, compliance, licensing status, or outcomes related to any listing or transaction.

2. Eligibility and Account Requirements

2.1 Eligibility

To use the Platform, you must:

  • Be at least 18 years old
  • Be legally able to enter into binding contracts
  • Provide accurate and current information

2.2 Account Types

You may create an account as:

  • A Space Host (practice owner or space provider)
  • A Space Seeker (professional seeking to rent space)

2.3 Account Verification

You may be required to verify your account through email verification or approved authentication methods such as Google sign in.

You are responsible for maintaining the confidentiality of your login credentials and all activity under your account.

3. User Responsibilities and Professional Standards

You agree that you will:

  • Provide truthful and accurate information
  • Maintain a professional standard of communication
  • Comply with all laws, licensing requirements, ethics rules, and professional regulations applicable to your services and business
  • Use the Platform only for lawful purposes

You may not:

  • Misrepresent your identity, credentials, licensing status, or business
  • Post fraudulent listings or submit fraudulent documents
  • Harass, threaten, intimidate, defame, or discriminate against other users
  • Use the Platform to solicit illegal activity
  • Attempt to bypass payments, fees, or platform rules
  • Upload malicious code or attempt to disrupt platform operations

4. Listings and Rental Agreements Between Users

4.1 Host Listing Obligations

If you list space on Haven, you represent that:

  • You have the legal right to offer the space for rent
  • The information in your listing is accurate, including location, availability, and amenities
  • Your listing does not violate any lease terms, property management restrictions, zoning rules, or professional restrictions

Hosts are solely responsible for:

  • Pricing, deposits, cancellation terms, and access rules
  • Maintaining the accuracy of the listing
  • Screening and approving applicants if desired
  • Complying with local rules, building rules, and professional requirements

4.2 Seeker Responsibilities

If you apply to rent space through Haven, you agree that:

  • You will provide accurate application information
  • You will comply with all Host requirements and building policies
  • You will respect the property, furnishings, and environment
  • You will follow all confidentiality expectations appropriate for clinical settings

4.3 Rental Contracts

Any rental agreement is strictly between Host and Seeker. Haven is not a party to the rental agreement, and Haven is not responsible for enforcing the terms of any agreement between users.

5. Document Vault, Credentials, and Verification

The Platform may allow users to upload and store documentation such as:

  • Professional licenses
  • Business licenses
  • Professional liability insurance
  • General liability insurance
  • Government identification
  • Certifications or supporting documents

You understand and agree:

  • You are responsible for ensuring documents are accurate and current
  • Haven does not guarantee that documents are valid, legitimate, or sufficient
  • Hosts may require additional documentation beyond what is uploaded
  • Haven may remove documents or suspend accounts for suspected fraud or policy violations

6. Payments, Fees, and Billing

Haven may charge fees, including but not limited to:

  • Listing subscription fees
  • Booking or transaction fees
  • Featured placement fees
  • Optional premium tools

All fees are disclosed prior to purchase. Fees are non refundable except where required by law or where a written refund policy explicitly applies.

Haven may use third party payment providers. You agree to comply with payment provider terms where applicable.

7. Cancellations, Refunds, and Disputes Between Users

Hosts determine cancellation rules unless Haven provides an override policy in writing.

Haven may provide limited support for platform related issues, but disputes between Hosts and Seekers are the responsibility of the parties involved. Haven does not guarantee refunds and is not responsible for losses caused by cancellations, no shows, denied access, or dissatisfaction with a space.

8. Community, Messaging, and Marketplace Rules

8.1 Community Forums

Users may post content in community areas. You agree that all community participation will remain professional, respectful, and lawful.

8.2 Marketplace Item Ads

Users may post items for sale or exchange. Haven does not verify items, pricing, quality, delivery, or payment between users. Any transaction is solely between users.

8.3 Messaging

Messaging is provided for convenience. You agree not to use messaging for harassment, spam, solicitation unrelated to the Platform, or any unlawful purpose.

Haven may remove content, restrict messaging features, or suspend accounts when necessary to enforce policies, comply with law, or protect the safety of users.

9. Content Ownership and Platform License

You retain ownership of content you post, such as listing photos, descriptions, and community posts.

By uploading content, you grant Haven a non exclusive, worldwide, royalty free license to host, display, reproduce, modify for formatting, distribute, and promote your content solely for operating and marketing the Platform.

You represent that you have the rights to upload your content and that it does not infringe on third party rights.

10. Prohibited Content

You may not post:

  • False credentials or misleading claims
  • Hate speech or discriminatory content
  • Sexually explicit content
  • Content encouraging harm or illegal acts
  • Confidential client information or protected health information
  • Content that violates professional ethics or privacy laws

11. Hold Harmless, Release of Liability, and Indemnification

11.1 Hold Harmless and Release

By using the Platform, you understand and agree that all interactions, rentals, and agreements occur directly between users.

To the fullest extent allowed by law, you agree to release, hold harmless, and waive any claims against Haven Practice Solutions, LLC, including its owners, employees, contractors, and affiliates, arising out of or related to:

  • Listings, rentals, bookings, access issues, or space suitability
  • Property conditions, safety, or physical environment concerns
  • Disputes between users
  • Loss of income, loss of opportunity, business interruption, or reputational harm
  • Theft, damage, personal injury, or incidents occurring at a listed space
  • Misrepresentation, misconduct, or policy violations by another user
  • Failure of a Host or Seeker to comply with laws, licensing requirements, ethics rules, or insurance obligations

11.2 Indemnification

You agree to defend, indemnify, and hold harmless Haven Practice Solutions, LLC from any claims, damages, losses, liabilities, and expenses, including attorney fees, arising from:

  • Your use of the Platform
  • Your content or listings
  • Your transactions or disputes with other users
  • Your violation of these Terms
  • Your violation of any law or professional requirement

12. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis.

Haven disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non infringement.

We do not guarantee uninterrupted service, error free operation, or that listings are accurate or appropriate.

13. Limitation of Liability

To the fullest extent permitted by law, Haven Practice Solutions, LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, business interruption, lost data, or reputational harm.

If Haven is found liable for any claim, Haven's total liability will not exceed the amount paid by you to Haven in the three months preceding the event giving rise to the claim.

14. Termination and Suspension

We may suspend or terminate your account at any time if:

  • You violate these Terms
  • You post fraudulent content or documents
  • You engage in harassment or unsafe conduct
  • Your conduct places the community or platform at risk
  • We are required to do so by law

You may stop using the Platform at any time. Some obligations in these Terms remain in effect after termination, including indemnification and liability limitations.

15. Communications and Opt In Consent

By creating an account or using the Platform, you consent to receive communications from Haven, including:

  • Account related notifications
  • Listing, application, and booking updates
  • Service announcements
  • Product updates
  • Marketing messages

You also agree that you are automatically opted in to communications unless you unsubscribe where applicable. Standard messaging and data rates may apply for SMS communications if offered.

You may adjust communication preferences in your account settings when available.

16. Third Party Services

The Platform may integrate third party services, including mapping services, payment processors, analytics, and authentication providers.

Haven is not responsible for third party services, their availability, performance, or policies.

17. Governing Law and Venue

These Terms are governed by the laws of the State of Georgia, without regard to conflict of law rules.

Any disputes will be brought in a state or federal court located in Georgia, unless Haven elects arbitration where permitted.

18. Changes to Terms

We may update these Terms from time to time. When updates occur, we will update the effective date and last updated date. Continued use of the Platform after changes means you accept the revised Terms.
